 Corporate Paralegal – Hartford


Murtha Cullina LLP is seeking a full-time, experienced Corporate Business Paralegal to join its Business and Finance Department in the Hartford office.  The ideal candidate must have a strong work ethic and excellent interpersonal skills, and a minimum of 5 years of experience working on corporate and LLC law matters in a law-firm environment.  Experience in corporate and LLC transactions, such as selling and acquiring businesses, forming, dissolving and merging business entities; including both stock and non-stock corporations, limited liability companies, limited partnerships and benefit corporations.  Strong knowledge of preparing Applications for Tax Identification Numbers, Recognition of Exemption, a working knowledge of HUD transactions and Connecticut Department of Housing transactions.


Specific duties include:

Preparing and maintaining corporate records, filing annual reports and maintaining minute books and other business records;

Drafting and preparing minutes, consents, stock certificates and related transfer documents;

Assisting with corporate and LLC document review and analysis;

Researching state laws regarding foreign qualifications, blue sky compliance and other business matters;

Preparing Audit Letters for distribution to auditors and clients

Drafting and arranging for UCC filings, amendments, assignments and terminations relating primarily to secured transactions, and conduct computerized lien searches;

Preparing closing checklists, coordinate closings, follow-up on post-closing items, including preparation of related closing indices and binders



Minimum of 5 years of corporate paralegal experience in a law firm

Bachelor’s Degree or Paralegal Certificate

Proficient in Microsoft Office, including PowerPoint and Excel

Extensive knowledge of corporate/business/LLC terminology, processes and procedures

Excellent interpersonal and organizational skills and ability to work well with clients

Solid team player

Ability to manage multiple priorities in a fast-paced office

Strong attention to detail

Self-starter; ability to work independently and as part of a team

Good judgment and decision-making ability
